These Terms of Service ("Terms") govern your access to and use of CloudAxis (the Agentic Cloud OS for AI agents) and related websites, applications, and services (collectively, the "Services") provided by CloudAxis Labs LLC ("CloudAxis," "we," "us," or "our"), a Wyoming limited liability company with its registered office at 30 N Gould St, STE R, Sheridan, WY 82801, USA.
By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
1. Service description
CloudAxis is a cloud-based software platform — the Agentic Cloud OS for AI agents — including isolated cloud desktops, agent orchestration, browser automation, file workspaces, scheduled tasks, workflows, notifications (including via WhatsApp where enabled), and related functionality. CloudAxis "agents," "specialists," and similar labels refer to AI-powered software, not human employees. Features may vary by plan. We may modify or discontinue features with reasonable notice where practicable.
2. Beta status
CloudAxis may be offered as a beta or early-access product. During beta, features may change, performance may vary, and interruptions may occur. Beta services are provided "as is."
3. Account registration
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for activity under your account. You must be at least 16 years old to use the Services. You must notify us promptly of unauthorized use.
4. Acceptable use
You agree not to use the Services to violate law; infringe others’ rights; send spam or unlawful messages; harass or harm others; attempt unauthorized access; interfere with the Services; circumvent safeguards or rate limits; automate third-party platforms in violation of their terms; or distribute malware or deceptive content. We may suspend or terminate access for violations.
4.1 User uploads, illegal content, and screening
You are responsible for content you upload or store in your workspace. You must not upload illegal content, CSAM, prohibited explicit material, malware, or infringing content. We may use automated and manual processes to review, block, quarantine, or delete content that violates these Terms or law, and may report illegal content to authorities where required.
4.2 Scheduled tasks and workflows
When you schedule a recurring task or deploy a workflow, you authorize the Service to execute it on your schedule, including publishing actions you configure (e.g., posts to connected social accounts). Each execution operates under consent you provided when creating or deploying the task. You may pause, change publish mode, or delete tasks at any time. We retain a record of deploy-time consent and task configuration snapshots.
5. Third-party integrations
The Services may integrate with third-party platforms (including Meta products, Shopify, Gmail, and others). You are responsible for complying with third-party terms and having rights to automate or post through those accounts. We do not guarantee continued access to any third-party platform.
6. Cloud browser and isolated desktop
If your plan includes cloud browser or isolated desktop functionality: you may use automation only for accounts and sites you are authorized to access. Some sites prohibit automation; you must comply with their terms and applicable law. You assume responsibility for account restrictions, blocks, or enforcement actions by third parties.
7. AI output disclaimer
AI outputs may be inaccurate, incomplete, outdated, or misleading. You must verify AI-generated content before relying on it for legal, financial, medical, safety-critical, or public decisions. You are solely responsible for human review before publishing or acting on outputs.
8. User content and AI-generated output
As between you and CloudAxis Labs LLC, content you create, upload, or generate using the Services belongs to you, subject to licenses below. You grant us a limited license to host, process, and display your content to operate the Services. We do not claim ownership of your prompts or outputs. You remain responsible for compliance with third-party AI provider terms and for content you publish.
9. Payment and billing
Paid plans are described at cloudaxis.ai/pricing and in checkout. Fees are processed via Stripe. Subscriptions renew until canceled. Hard caps and plan limits apply as documented. Payments are non-refundable except where required by law.
10. Intellectual property
CloudAxis software, branding, and documentation remain our property (or our licensors’). You receive a limited, non-exclusive license to use the Services per these Terms. You may not reverse engineer, resell, or sublicense the Service except as permitted.
11. Privacy and data
Use of the Services is governed by our Privacy Policy. You may request account or data deletion via privacy@cloudaxis.ai or in-product controls.
12. Copyright and infringement

13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR USD 100,ドル EXCEPT WHERE PROHIBITED BY LAW.
15. Indemnity
You will defend and indemnify CloudAxis against claims arising from your content, misuse of the Services, or violation of these Terms or third-party rights, subject to our prompt notice and reasonable cooperation.
16. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal requirements. Surviving provisions include liability limits and indemnity.
17. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, United States. Disputes shall be resolved in Wyoming courts except where mandatory consumer law requires otherwise.
18. Changes
We may update these Terms by posting a revised version and updating the effective date. Continued use after changes constitutes acceptance if you do not stop using the Services.
19. Severability
If any provision is invalid or unenforceable, the remaining provisions remain in effect.
20. Entire agreement
These Terms, together with the Privacy Policy and plan-specific terms, constitute the entire agreement regarding the Services.
