| 内容記述 | 中国郷鎮企業の株式合作制は,改革開放後の中国農村の特殊な政治的,経済的情勢を背景にして,現実の実践の中から生じたものである。 同制度は,労働結合と資金結合の同時実施を基本的理念とし,社会主義的要請を満たした上で企業財産権の明確化にも資すると考えられたことから,郷鎮企業の株式合作化が政府主導の下に全国的に積極的に進められた。 しかしながら,株式合作制の理念を制度面で具体化していく試みは,現実との妥協の中で理念の一部修正を余儀なくされることとなった。株式合作制を,一般に考えられているような協同組合制度を基礎とした制度と見ることは適当ではない。また,企業資産の株式化の方法に制度化の重点が注がれ,株主の共益権(経営への参画)が事実上無視された結果,政治と企業の分離や企業の効率的経営という観点からは制度内容が不十分なものとなり,株式合作制を企業が安定的に発展できる制度として確立する試みは成功しなかった。 株式合作制をめぐる近年の情勢は,同制度が企業の安定的発展に適しないことを事実としても示しており,そのあり方の再検討が迫られるようになっている。 |

| 内容記述 | The stock cooperative system of Chinese rural town enterprises originated in actual practices in the background of particular political and economic conditions of Chinese villages after the reform and open policy started. The fundamental idea of that system is the simultaneous practice of both the combination of labor and combination of capital. Because that system was expected to make the property rights of enterprises clear as well as to meet the socialist demands, the application of that system to rural town enterprises was positively promoted under the government guidance in whole country. However, the fundamental idea of that system had been forced to amend in course of legislation by the compromise with actualities. The stock cooperative system should not be seen as ones on the basis of the cooperative system, as is generally thought. Further, because the way to change assets of enterprises into stocks was regarded most important and stockholders’ rights of common benefits (participation to management) were disregarded as a matter of fact, the contents of legislation became insufficient from the point of view of separating enterprises from politics and effectively managing enterprises. As the result, the stock cooperative system has not been established as the system to assure enterprises to develop steadily. The late state of affairs in relation to the stock cooperative system shows that system is not suitable to the steady development of enterprises. It would be necessary to study further how to legislate that system. |
